These Terms of Service ("Terms") govern your access to and use of Ration Lab ("the Service"), operated by Ration Lab ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

Ration Lab provides self-service nutrition planning software and a managed nutrition consultation service for veterinary clinics. Both use an automated formulation process to prepare dog and cat diet recipes from patient information. The self-service software includes nutrient compliance checking against NRC (National Research Council) recommended allowances, AI-assisted recipe refinement through conversational chat, ingredient substitution suggestions, and exportable nutrition reports.

For a managed consultation, your clinic provides the patient profile, clinical records, and owner needs. A certified veterinary nutritionist creates three recipes with feeding and preparation guidance and checks the finished plan before delivery. Our team approves case-related communications before delivery. We send the clinic-branded report and approved communications only to your clinic for you to share with the client. We aim to return the plan by the next business day after receiving a complete profile; missing facts or further review may affect that target. Unlimited follow-up questions and change requests about the delivered recipe pack are included. A new meal plan needed later as the patient’s needs change is a new paid case.

Eligibility

The Service is intended for use by licensed veterinary professionals and authorized staff at veterinary practices. By creating an account, you represent that you are either a licensed veterinarian or are authorized by a licensed veterinarian to use the Service on behalf of a veterinary practice.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Acceptable Use

You agree not to:

• • Use the Service for any unlawful purpose or in violation of any applicable regulations
• • Share your account credentials with unauthorized parties
• • Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• • Use automated tools to scrape, harvest, or extract data from the Service
• • Interfere with or disrupt the integrity or performance of the Service

4. Pricing and Billing

Beta Access

Ration Lab may be offered as an invite-only beta. During the beta, access may be limited and features may change at any time.

Managed Consultations

The full managed consultation costs your clinic A$50 including GST per case. It includes three recipes, feeding and preparation guidance, creation by a certified veterinary nutritionist, a clinic-branded report, and unlimited follow-up questions and change requests about the delivered recipe pack. Your clinic sets its own client price. A new meal plan needed later as the patient’s needs change is a new paid case.

Paid Subscriptions

Paid subscriptions may be introduced in the future. Subscription pricing and plan details will be available on our Pricing page.

Subscription Payment

Subscription payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis according to your selected billing cycle. Subscription fees are non-refundable except as described in these Terms or as required by law.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of the period for which you have already paid.

5. Data Ownership

Your Data

You retain all ownership rights to the patient data, recipes, and other content you create or upload through the Service. We do not claim ownership of your data. We do not use your data to train AI models, and we do not sell or share your data with third parties for marketing purposes.

Our Service

All intellectual property rights in the Service itself -- including the software, algorithms, user interface, design, ingredient database, and documentation -- remain the property of Ration Lab. These Terms do not grant you any rights to our intellectual property except as needed to use the Service.

Data Portability

You may export your recipes and patient data at any time through the Service's export features or by contacting us. Upon account deletion, we will provide your data in a portable format upon request.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

• • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• • We do not warrant that AI-generated recipes or nutrient analyses will be error-free, complete, or suitable for any particular patient. After Ration Lab's internal Vet stage review, the practitioner must independently evaluate the accuracy and appropriateness of the formulation for the patient.
• • In no event shall Ration Lab be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Service.
• • Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

7. Indemnification

You agree to indemnify and hold harmless Ration Lab, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or any harm to a patient resulting from dietary recommendations that you, as the practitioner, chose to implement.

8. Termination

We may suspend or terminate your access to the Service at any time if:

• • You violate these Terms or our Acceptable Use policies
• • Your payment fails and is not resolved within a reasonable period
• • Required by law or regulation

Upon termination, your right to use the Service ceases immediately. We will retain your data for 90 days following termination to allow for data export, after which it will be permanently deleted unless a longer retention period is required by law.

9. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide at least 30 days' notice by email or by posting a prominent notice on our website. Your continued use of the Service after the updated Terms take effect constitutes acceptance. If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of Queensland, Australia, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia, except where prohibited by law. If Ration Lab relocates its principal place of business, we will update this clause and notify users at least 30 days in advance.
